LODGEMENT OF SHAREHOLDERS’ AND SHARE CAPITAL INFORMATION – SSM PRACTICE DIRECTIVE NO. 11/2026 (REVISED 5 AUGUST 2026)
We wish to inform you that the Companies Commission of Malaysia (SSM) has issued Practice Directive No. 11/2026 (Revised 5 August 2026) requiring all companies to lodge updated shareholder and share capital information through its new Corporate Registry System (CRS).
Key Points:
- This initial lodgement is mandatory. Failure to comply will prevent your company from carrying out subsequent CRS transactions with SSM (e.g. issuance of new shares, share transfers, capital reduction, register updates).
- You are required to update
- Company’s share capital structure; and
- Detailed shareholder information for each shareholder (as set out in Annexure B and C of the directive).
- Timeline: Companies must complete the lodgement within six months, i.e. by 14 January 2027 (from the effective date of 14 July 2026).
We strongly encourage members to begin the process early to avoid last‑minute delays.
